Business Transactions - We represent clients in many types of transactions, including mergers and acquisitions, debt and equity financings, strategic partnerships, joint ventures and securitizations, to name just a few. We also handle general corporate matters for clients, some of whom look to us as their de-facto general counsel. We are particularly well known for our expertise and experience serving companies in the technology, media and entertainment industries. We enjoy representing clients at all stages of their development. For example, for technology companies, we handle domestic and international mergers, acquisitions and divestitures (in some cases as lead counsel and in others as IP counsel); outsourcing, supply and procurement contacts; technology transfer agreements; collaboration and development agreements; inbound and outbound licenses; VAR, OEM, distributor and reseller agreements; IT procurements; and joint venture and development agreements. We also have particular expertise in outsourcing and offshoring arrangements and in performing due diligence with respect to IP and technology-related assets, with special emphasis on open source and other proprietary rights issues that arise in connection with software transactions. We routinely manage the execution and implementation of cross-border transactions, especially in the European Union and India.

IP Strategy - Our intellectual property attorneys and consultants apply their knowledge and skills to develop strategies that integrate with, and in many cases inform, our clients' overall business plans. We often work across functions within a client's organization with senior management, engineering, product development, legal and sales - to build and train the team necessary to implement a unified IP strategy. Once that is accomplished, we remain involved to assist in the implementation of the strategy, helping to develop and monetize valuable IP assets. In many cases, this begins with individual patent applications carefully tailored to advance and protect the client's key value proposition, continues with the identification of potential strategic partners both within and without our existing client base, leads to the negotiation and execution of inbound and outbound license agreements, joint ventures and other arrangements that enable the development and exploitation of products, and ends with the negotiation and execution of the client's exit strategy.
